Acumen Pharmaceuticals (Nasdaq: ABOS), a U.S.-based clinical-stage biopharmaceutical company, announced a private placement of approximately USD 35.75 million in gross proceeds to fund preclinical development of its Enhanced Brain Delivery (EBD) program, which pairs amyloid beta oligomer-selective antibodies with a transferrin-receptor-targeting blood-brain barrier penetration technology. The financing follows the release of preclinical data, including non-human primate study results, showing that EBD development candidates achieved 14- to 40-fold higher brain exposure compared to native antibodies, along with hematology data indicating low anemia risk and stability profiles supporting subcutaneous administration. Proceeds will also support working capital and general corporate purposes.
The private placement consists of shares of common stock priced at USD 3.30 per share, yielding approximately 10,833,333 shares. No warrants were disclosed as part of the transaction. The placement was led by RA Capital Management, an existing investor in Acumen Pharmaceuticals. Additional participants included ADAR1 Capital Management, Sands Capital, and one unnamed large investment management firm. The transaction was expected to close on or about March 16, 2026, subject to customary closing conditions. No company insider participation was disclosed.
Company overview and pipeline
Acumen Pharmaceuticals is headquartered in Newton, Massachusetts, and focuses on developing therapeutics targeting toxic soluble amyloid beta oligomers for Alzheimer's disease treatment. The company's lead clinical candidate is sabirnetug (ACU193), a humanized monoclonal antibody that selectively binds soluble amyloid beta oligomers rather than amyloid plaques. Sabirnetug completed a Phase I trial (INTERCEPT-AD) and is currently in an ongoing Phase II clinical trial designated ALTITUDE-AD, evaluating the intravenous formulation in patients with early symptomatic Alzheimer's disease. The company is also developing a subcutaneous formulation of sabirnetug through a global collaboration with Halozyme Therapeutics using the ENHANZE drug delivery technology, established in November 2023.
Separately, the EBD program that is the primary target of this biopharmaceutical funding round is being developed in collaboration with JCR Pharmaceuticals under an agreement announced in July 2025. The program combines Acumen's amyloid beta oligomer-selective antibodies with JCR's J-Brain Cargo platform, a proprietary drug delivery system that uses receptor-mediated transcytosis to transport therapeutics across the blood-brain barrier. Submission of an Investigational New Drug application for a lead EBD clinical candidate is targeted for mid-2027. The company has also extended a manufacturing collaboration with Lonza Group to support potential commercial-scale drug product manufacturing of sabirnetug, and holds a patent license from Merck covering one issued U.S. patent and 18 issued foreign patents related to its program.
