Netherlands-based AmyriAD Therapeutics has acquired California-based biopharma Recognify Life Sciences and its lead asset, the pro-cognitive small molecule inidascamine (RL-007). AmyriAS is making Recognify a wholly owned subsidiary via an all-share transaction.
The deal includes an initial equity-based consideration along with additional amounts linked to future development milestones; no cash figures or milestone values were disclosed. Recognify's former shareholders — atai Life Sciences, Catalio Capital Management, and Sudhoff Family Office — become shareholders of AmyriAD as a result.
Inidascamine is an orally administered compound that modulates cholinergic, glutamatergic, and GABA-B receptor activity, studied in 500 subjects to date. Recognify's Phase IIb trial (NCT05686239) of inidascamine in cognitive impairment associated with schizophrenia (CIAS) enrolled 242 patients and, according to Atai Life Sciences, did not reach statistical significance on its primary efficacy endpoint, a measure of cognitive function compared with placebo. Numerical improvements were observed across Symbol Coding, Speed of Processing, and Verbal Learning, along with directionally positive effects on functional capacity.
AmyriAD said it will complete an ongoing pharmacokinetic study, with results expected in H1 2027, then advance a reformulated product and refined trial design in CIAS focused on the domains showing the strongest signals. AmyriAD plans a Phase II study in mild-to-moderate Alzheimer's disease in 2027/2028, leveraging the clinical infrastructure, investigator network and regulatory experience from its lead Alzheimer's program, ismidenon (AD-101), a T-type calcium channel modulator with a Phase IIb study planned to begin dosing in 2027.
