J&J completes USD 1b Firefly acquisition to add pan-KRAS degrader capabilities

Johnson & Johnson (NYSE: JNJ) has completed its acquisition of Firefly Bio, Inc. for USD 1 billion in cashadding the company's antibody-targeted protein degrader platform to strengthen its preclinical oncology pipeline focused on KRAS-driven solid tumors. The acquisition follows J&J's December 2025 purchase of Halda Therapeutics and reflects the company's growing investment in targeted protein degradation as a next-generation therapeutic modality.

Firefly Bio's Firelink platform is designed to deliver highly selective protein degraders directly to tumor cells via antibody conjugation, combining the tumor-targeting specificity of antibody engineering with the intracellular mechanism of targeted protein degradation (TPD). The platform is intended to improve the therapeutic window of KRAS-directed protein degraders by restricting intracellular payload delivery to antigen-expressing tumor cells, potentially reducing off-target toxicity associated with systemic small-molecule approaches. Assets derived from the platform are described as preclinical candidates, with no clinical-stage programs disclosed.

The transaction, first unveiled in June, is structured as an all-cash acquisition with no disclosed milestone payments, royalties, or contingent value rights. It will be accounted for as an asset acquisition, resulting in an in-process research and development charge of approximately USD 1 billion in Q3 2026. J&J expects the transaction to dilute adjusted operational earnings per share by approximately USD 0.46 in 2026 and approximately USD 0.08 in 2027.

The KRAS space has attracted significant large-pharma capital at early development stages. While mutation-specific KRAS inhibitors have reached the market, many KRAS-driven tumors harbor mutations not addressed by existing therapies, prompting interest in pan-KRAS approaches capable of targeting multiple oncogenic variants. AbbVie recently secured an exclusive option to acquire Kestrel Therapeutics for up to USD 1.45 billion for KST-6051, a pan-KRAS inhibitor. Unlike Kestrel's pan-KRAS inhibitor, Firefly's platform is designed to selectively degrade KRAS proteins after antibody-mediated delivery into tumor cells. Separately, PAQ Therapeutics raised USD 77 million in Series B financing to advance a KRAS-targeting protein degrader pipeline, including the first patient dosed in a Phase I pan-KRAS degrader trial — underscoring the convergence of KRAS targeting and protein degradation that Firelink also pursues. The Firefly Bio deal extends J&J's interest in degrader platforms, following the USD 3.05 billion acquisition of Halda Therapeutics and its RIPTAC oral targeted protein degrader platform, completed in December 2025.
