Apnimed, Inc. (Nasdaq: APMD), a Cambridge, Massachusetts-based company whose sole clinical asset is an NDA-stage oral therapy for obstructive sleep apnea with a FDA decision expected in February 2027, filed an S-1 registration statement with the SEC on July 27, 2026, seeking to raise approximately USD 150 million in an IPO on the Nasdaq Global Market.
The offering comprises 10 million shares of common stock at an assumed midpoint price of USD 15.00 per share, generating estimated net proceeds of USD 134.6 million before exercise of an overallotment option covering 1.5 million additional shares, which would lift net proceeds to approximately USD 155.5 million. Lead bookrunners were not identified in the prospectus summary.
Apnimed intends to use approximately USD 228.8 million in combined IPO proceeds and existing cash to fund the FDA regulatory approval process and, if approved, the commercial launch of AD109 (Oxnimbi) for obstructive sleep apnea, with remaining proceeds directed to research and development and general corporate purposes.
Apnimed was co-founded by Barry Wohl and Luigi Taranto Montemurro, M.D., whose foundational research at Brigham and Women's Hospital at Harvard Medical School provided proof-of-concept for the drug combination. AD109 (Oxnimbi) is a fixed-dose oral tablet combining aroxybutynin, a novel anti-muscarinic agent, with atomoxetine, a selective norepinephrine reuptake inhibitor, designed to restore upper airway muscle tone during sleep by addressing the neuromuscular dysfunction underlying OSA. The FDA accepted the NDA for review in July 2026 and assigned a PDUFA goal date of February 28, 2027; the brand name Oxnimbi received conditional FDA approval in May 2025, reconfirmed in June 2026. In a USD 150 million debt and royalty financing disclosed prior to the IPO filing, Apnimed secured pre-approval capital from HCR.
