Spain-based Oryzon Genomics, S.A. (Madrid: ORY) announced a completed equity capital increase of EUR 12 million (approximately USD 14.1 million) alongside a forward share subscription agreement with a Spanish state-backed development finance institution, providing up to EUR 25 million (approximately USD 29.4 million) in additional committed capital. The dual-tranche structure is designed to extend Oryzon's runway as the firm looks forward to generating clinical data from its lead oncology asset, iadademstat (ORY-1001).
The completed placement involved 4,444,445 new ordinary shares priced at EUR 2.70 per share, representing a 14.15% discount to the five-day volume-weighted average price and a 12.68% discount to the June 30 closing price. No warrants were issued. Singular Bank acted as placement agent in Spain; All-Invest placed shares across the EU and UK. The identity of individual investors in the placement was not disclosed. Concurrently, Oryzon entered a share subscription agreement with the Social Impact Fund, managed by Compañía Española de Financiación del Desarrollo (COFIDES), under Spain's NextGenerationEU-backed Recovery Plan. COFIDES has committed as anchor investor to subscribe EUR 25 million in future capital increases within six months of the agreement, subject to corporate, financial, and impact-related conditions. At least 40% of those proceeds must be directed to mental health programs, specifically borderline personality disorder and related psychiatric conditions.
Proceeds from the completed placement will advance iadademstat's clinical programs in acute myeloid leukemia, support ongoing hematology and psychiatry trials, and cover general and administrative expenses ahead of anticipated partnership discussions. The financing follows updated Phase Ib data presented at EHA 2026 showing a 100% overall response rate and 89% composite complete remission rate in newly diagnosed unfit AML patients in the ALICE-2 trial, alongside a 67% composite complete remission rate in relapsed/refractory FLT3-mutant AML in the FRIDA trial.
