Cyclerion Therapeutics and Korsana Biosciences have entered into a definitive all-stock merger agreement that will result in the combined entity operating as Korsana Biosciences, Inc. on Nasdaq under the ticker KRSA, supported by a concurrent USD 380 million private placement. The transaction provides Korsana, a privately held neurodegenerative disease company, with a public listing vehicle and capital runway through 2029 to advance its lead asset KRSA-028, an engineered amyloid beta monoclonal antibody, into Phase I clinical evaluation.
Under the merger terms, pre-merger Cyclerion shareholders will hold approximately 1.5% of the combined company, with Korsana stockholders — inclusive of participants in the pre-closing financing — retaining approximately 98.5%. The USD 380 million private placement, described as oversubscribed, is structured as common stock and pre-funded warrants and is led by Fairmount and Venrock Healthcare Capital Partners, with participation from General Atlantic, Wellington Management, RA Capital Management, RTW Investments, Sanofi Ventures, Foresite Capital, J.P. Morgan Life Sciences Private Capital, and others. The financing is expected to close immediately prior to merger completion. The transaction has received board approval from both companies and is expected to close in Q3 2026, subject to stockholder approvals and regulatory clearance.
THETA Platform and KRSA-028
Korsana's core value proposition centers on its THETA (Therapeutic Targeting) platform, co-developed with Paragon Therapeutics, which engineers antibodies to cross the blood-brain barrier via transferrin receptor 1 (TfR1)-mediated transcytosis. TfR1 is constitutively expressed on brain endothelial cells and undergoes receptor-mediated endocytosis, enabling therapeutic cargo to be shuttled from the systemic circulation into the CNS parenchyma. THETA incorporates both clinically validated TfR1-binding domains and Fc engineering to optimize brain accumulation while mitigating the hematologic adverse events — specifically reticulocyte depletion and anemia — associated with earlier-generation TfR1 shuttle approaches that engaged the receptor too aggressively.
KRSA-028, the lead asset advancing from this platform, is a next-generation shuttled monoclonal antibody that selectively binds forms of amyloid beta enriched in amyloid plaques. Its effector function has been deliberately attenuated through Fc engineering to reduce the rate of amyloid-related imaging abnormalities (ARIA), a class of adverse events — including ARIA-E (edema) and ARIA-H (microhemorrhage) — that have constrained the clinical uptake of approved anti-amyloid therapies. KRSA-028 is additionally formulated for low-volume subcutaneous administration, contrasting with the intravenous infusion protocols required by lecanemab and donanemab, the two currently approved agents in this class. Korsana is currently conducting IND-enabling studies, with Phase I healthy volunteer safety and pharmacokinetic data targeted for mid-2027 and interim proof-of-concept data measuring amyloid plaque clearance in Alzheimer's patients expected by end of 2027.
