Jiangsu Nhwa Pharmaceutical Co. (Shenzhen Stock Exchange: 002262) announced the grant of an exclusive license to Tennessee-based Somnivera, Inc. for development, manufacture, and commercialization of an undisclosed sleep-disorder drug outside mainland China, Hong Kong, Macau, and Taiwan.
Somnivera will pay USD 10.5 million upfront, with Nhwa eligible for up to USD 507 million in development, regulatory, and commercial milestones plus tiered royalties ranging from single-digit to low-double-digit percentages on net sales.
Somnivera was incorporated in Delaware on August 25, 2026, to develop therapies for sleep disorders and is backed by Population Health Partners, ARCH Venture Partners, and F-Prime Capital. Nhwa will also receive a 15% equity stake in the company through its wholly owned Hong Kong subsidiary.
The drug's name, target, and modality were not disclosed. Nhwa described it as a self-developed Class 1 innovative drug in its central nervous system pipeline with independent intellectual property and an NMPA clinical trial approval notice; the specific stage of clinical development was not disclosed.
