Sagimet Biosciences (NASDAQ: SGMT), a clinical-stage biopharmaceutical company based in San Mateo, California focused on therapeutics targeting dysfunctional metabolic and fibrotic pathways, has priced an underwritten public offering of Series A common stock expected to raise approximately USD 175 million in gross proceeds.
The offering comprises 29,166,700 shares priced at USD 6.00 per share and was expected to close around April 28, 2026. Participating investors include Balyasny Asset Management, Blue Owl Healthcare Opportunities, BVF Partners L.P., Caligan Partners, Coastlands Capital, Farallon Capital Management, Great Point Partners, Woodline Partners LP, and an unnamed large mutual fund. No single lead investor was identified. Leerink Partners, TD Cowen, Guggenheim Securities, and Oppenheimer & Co. are acting as joint bookrunning managers, with Canaccord Genuity, H.C. Wainwright & Co., and Jones serving as co-lead managers.
Sagimet said it intends to use the proceeds to fund a Phase III clinical trial for denifanstat in acne, advance TVB-3567 through Phase II topline results, progress a topical formulation fatty acid synthase (FASN) inhibitor to IND submission, and cover general corporate purposes. The company said it expects its existing cash, combined with the offering proceeds, to fund its acne programs through 2028, including the readout of the planned Phase III denifanstat trial in moderate to severe acne.
